Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the MachineWallet platform ("Platform"), operated by FlowState IT Consultancy ("Company", "we", "us", "our"), a business registered in the Philippines.

By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

2. Definitions

• "Platform" — The MachineWallet web application, API, dashboard, and related services accessible at machinewallet.ai and its subdomains.
• "User" — Any individual or entity that creates an account on the Platform.
• "Merchant" — A User that has been approved to send and receive payments through the Platform.
• "Wallet" — A virtual account on the Platform used to track funds and facilitate transactions.
• "Payment Partner" — Licensed financial institutions and electronic money issuers through which we process transactions, including StarPay and InstaPay network participants.
• "API" — The application programming interface provided by the Platform for programmatic access.

3. Eligibility

To use the Platform, you must:

• Be at least eighteen (18) years of age;
• Be a resident of the Philippines or a business entity duly registered with the appropriate Philippine government agencies (SEC, DTI, or CDA);
• Provide accurate and complete registration information;
• Not have been previously suspended or removed from the Platform.

4. Account Registration and Security

You must provide truthful, accurate, and complete information during registration and update it promptly if it changes. You are responsible for maintaining the confidentiality of your account credentials, API keys, and authentication tokens.

You must immediately notify us of any unauthorized use of your account at support@machinewallet.ai.

6. Fees and Charges

Current fee schedules are published on machinewallet.ai/pricing and may be updated with thirty (30) days' prior notice. Fees are deducted automatically from transaction amounts or wallet balances. All fees are exclusive of applicable taxes.

7. Transaction Limits and Controls

Transactions are subject to limits set by BSP regulations, our Payment Partners' policies, your service tier, and your wallet-level configurations. We reserve the right to adjust limits at any time for compliance, risk management, or operational reasons.

8. Prohibited Uses

You may not use the Platform to:

• Violate any applicable Philippine law, including the Anti-Money Laundering Act (RA 9160), the Cybercrime Prevention Act (RA 10175), and the Access Devices Regulation Act (RA 8484);
• Engage in fraud, money laundering, terrorist financing, or any illegal financial activity;
• Process transactions for illegal goods or services;
• Circumvent transaction limits, KYC requirements, or security controls;
• Conduct denial-of-service attacks, reverse engineering, or unauthorized data scraping;
• Impersonate any person or entity;
• Use the Platform for gambling, adult content, or other activities prohibited by Philippine law.

9. KYC and Anti-Money Laundering

We comply with the Anti-Money Laundering Act (RA 9160, as amended) and BSP Circular No. 706. You agree to provide identity verification and business registration documents as requested. We reserve the right to delay, block, or reverse suspicious transactions and report them to the Anti-Money Laundering Council (AMLC).

10. Intellectual Property

The Platform, including its software, design, logos, and documentation, is the intellectual property of the Company, protected under RA 8293. You receive a limited, non-exclusive, non-transferable, revocable license to use the Platform in accordance with these Terms.

11. Data Privacy

Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms. We process personal data in accordance with the Data Privacy Act of 2012 (RA 10173).

12. Disclaimer of Warranties

The Platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. We do not guarantee uninterrupted or error-free operation. We are not a bank, electronic money issuer, or licensed financial institution. Payment processing is performed by our licensed Payment Partners.

13. Limitation of Liability

To the maximum extent permitted by Philippine law, the Company shall not be liable for indirect, incidental, special, consequential, or punitive damages. Our total aggregate liability shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless the Company from any claims, damages, losses, or expenses arising from your use of the Platform, violation of these Terms, or violation of any applicable law.

15. Suspension and Termination

We may suspend or terminate your access for violation of these Terms, suspected illegal activity, regulatory requirements, non-payment, or extended inactivity. You may terminate your account by contacting support@machinewallet.ai. Outstanding balances will be disbursed to your registered bank account, less applicable fees.

16. Modifications

We may modify these Terms at any time. Material changes will be communicated at least thirty (30) days before taking effect. Continued use constitutes acceptance.

17. Force Majeure

The Company shall not be liable for delays or failures resulting from causes beyond our reasonable control, including natural disasters, government actions, power failures, internet disruptions, banking system outages, pandemics, or acts of terrorism.

18. Governing Law and Dispute Resolution

These Terms are governed by Philippine law. Disputes shall first be resolved through negotiation, then mediation under the Philippine Mediation Center, and finally by the proper courts of Makati City, Philippines.

19. Severability

If any provision is found invalid or unenforceable, the remaining provisions continue in full force.

20. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding use of the Platform.
